Terms of Service

These terms are an agreement between you and [LEGAL ENTITY NAME] (“Ivy Lee”, “we”) covering ivyleetasks.com, app.ivyleetasks.com and our iPhone and Android apps (the “Service”). By creating an account or using the Service, you agree to them. If you don’t agree, please don’t use it.

1. Your account

You must be at least 13 (or older where your country requires) to use Ivy Lee. You sign in with Google or Apple and are responsible for activity on your account. Give us accurate information and tell us if you think your account has been compromised.

2. Your content

You own the tasks and other content you put into Ivy Lee. You give us a limited licence to store, process and display it only to run the Service for you and the people you choose to share with. You are responsible for your content and for having the right to share it. Don’t use Ivy Lee to store anything unlawful.

3. Acceptable use

Don’t break the law, abuse, harass or spam others, or invite people who haven’t agreed to receive invites.
Don’t try to access other users’ data, probe or disrupt the Service, or overload it.
Don’t reverse engineer, scrape or resell the Service except as the law allows.
Don’t create fake accounts or manipulate gifts, referrals or commissions.

We may suspend or end accounts that break these rules.

4. Free and Pro plans

Ivy Lee has a free plan and a paid plan, Ivy Lee Pro, with the features and limits shown on our pricing page and in the app. We may change features and prices; price changes for existing subscribers take effect at the next renewal, with notice.

Billing and renewal

Pro is billed monthly or yearly. Subscriptions renew automatically at the then-current price until you cancel. You can cancel any time, and you keep Pro until the end of the period you’ve paid for. Subscriptions bought on the web are billed by Stripe and managed from your account; subscriptions bought in the iPhone or Android app are billed and managed by Apple or Google, and you cancel them in your Apple or Google subscription settings (deleting the app or your Ivy Lee account does not cancel an Apple or Google subscription).

Refunds

[Decide the refund policy, for example: web purchases can be refunded within 14 days of purchase on request.] Purchases made through Apple or Google are refunded under their policies. Nothing here limits refund rights you have under the law.

Pro gift invites

Pro subscribers can give away free 3-month Pro subscriptions to as many people as they like, for new account activations only: a gift works only for a new Ivy Lee account that has never had Pro, and each person can use one gift. A gift link stops working if the person who made it is no longer on a paid Pro plan. Gifts have no cash value and can’t be sold or exchanged, and we may stop gifts that look like abuse. In the phone apps, gifts and discounts are redeemed through Apple or Google offer codes where their rules require it.

5. Affiliate program

If you join our affiliate program, you also agree to the Affiliate Agreement. If there is a conflict between it and these terms about the program, the Affiliate Agreement wins.

6. Our rights

The Service, its design and software belong to us and our licensors. We give you a personal, non-exclusive, non-transferable licence to use it under these terms. If you send us feedback, we may use it without obligation to you.

7. Availability and changes

We work to keep Ivy Lee reliable, but it’s provided “as is” and may sometimes be unavailable or change. Keep your own copy of anything important; you can export your tasks from the web app.

8. Ending your account

You can delete your account at any time from Settings, which permanently deletes your data (see our Privacy Policy). We may suspend or end your access for breaking these terms, with notice where practical. Sections that by their nature should survive ending (such as 6, 9, 10 and 11) will.

9. Disclaimers

To the fullest extent the law allows, we provide the Service without warranties of any kind, including fitness for a particular purpose and uninterrupted or error-free operation. Ivy Lee is a productivity tool and does not provide professional advice.

10. Limit of liability

To the fullest extent the law allows, Ivy Lee won’t be liable for indirect, incidental or consequential damages, or lost data, profits or opportunities, and our total liability to you for any claim is limited to the greater of what you paid us in the 12 months before the claim and $50. Some places don’t allow these limits, so they may not apply to you, and nothing here limits liability that can’t be limited by law.

11. Governing law and disputes

These terms are governed by the laws of [GOVERNING LAW: STATE / COUNTRY], and disputes will be handled in the courts of [VENUE], except where the law of your home country gives you the right to use your local courts. [Lawyer to decide whether to add arbitration or a class-action waiver.]

12. Changes to these terms

We may update these terms. If a change is material, we’ll tell you in the app or by email before it takes effect. Continuing to use the Service afterwards means you accept the new terms.
